What an equity recapitalization does

Restructuring the ownership of an asset that already exists — bringing in new equity to retire old positions, fund a business plan, or take a partner out cleanly.

Recapitalizations are partner problems as much as capital problems. Someone needs liquidity, someone wants to stay in, and the existing documents rarely contemplate either.
